eRxClinic – LEGAL DISCLAIMER & LIMITATION OF LIABILITY

**IMPORTANT:** This Legal Disclaimer is incorporated by reference into and forms part of the eRxClinic Terms of Service. By accessing or using the eRxClinic platform, you acknowledge and agree to be bound by this Disclaimer.
## 1. Platform Nature & Purpose
eRxClinic, provided by Ontario Technologies Co. ("the Company," "we," "us"), is a **global prescription template management and practice efficiency software-as-a-service (SaaS) platform**. It is designed exclusively as a digital organizational tool for qualified, licensed medical professionals to use within their independent clinical judgment and professional discretion.
**CRITICAL UNDERSTANDING:** The platform functions as a **digital template repository and prescription formatting tool**. It does NOT:
- Provide medical advice, diagnoses, or treatment recommendations;
- Analyze patient data or suggest clinical decisions;
- Replace or supplement professional medical judgment;
- Constitute a telemedicine service or patient engagement platform.
The Company is not a healthcare provider, does not employ or credential physicians, and does not engage in any form of medical practice.
## 2. Professional Responsibility & User Declarations
**ALL CLINICAL DECISIONS, INCLUDING DIAGNOSIS, TREATMENT SELECTION, PRESCRIPTION CONTENT, DOSING, AND PATIENT MANAGEMENT, ARE THE SOLE, EXCLUSIVE, AND UNQUESTIONABLE RESPONSIBILITY OF THE LICENSED HEALTHCARE PROFESSIONAL USING THE SOFTWARE.**
**BY REGISTERING FOR, ACCESSING, OR USING THE eRxClinic PLATFORM, YOU SOLEMNLY DECLARE, WARRANT, AND COVENANT THAT:**
1. **Professional Status:** You are a currently licensed medical professional in good standing within your jurisdiction of practice, with unrestricted authority to diagnose, treat, and prescribe.
2. **Compliance Obligation:** You are solely and exclusively responsible for ensuring that your use of this platform complies with **ALL** applicable laws, regulations, professional standards, formulary restrictions, and ethical guidelines in:
- Your jurisdiction of licensure and practice;
- The jurisdiction where your patient is physically located;
- Any jurisdiction whose laws may apply to your clinical activities.
3. **Independent Verification:** You have independently verified—through your own legal or professional counsel if necessary—that using a digital prescription template management tool is permissible within your scope of practice and meets all local regulatory requirements.
4. **Template Appropriateness:** You understand that all templates, forms, or structured data within the platform are **generic starting points only** and must be extensively reviewed, customized, and validated based on individual patient factors, current clinical guidelines, and local standards of care before any clinical use.
5. **No Reliance:** You do not and will not rely on the Company, its platform, or any content therein as a source of medical or legal guidance, standard of care, or compliance assurance.
## 3. Jurisdictional Neutrality & Limitation of Representations
The Company provides the eRxClinic platform on a **globally accessible basis**. We make **NO REPRESENTATIONS, WARRANTIES, OR ASSURANCES** regarding:
- The legal permissibility, regulatory status, or compliance suitability of the platform in any specific country, state, province, or territory;
- The alignment of platform features with local medical practice standards, prescription formatting rules, or healthcare regulations;
- The accuracy, completeness, or currentness of any informational references that may be included.
**It is the USER'S NON-DELEGABLE DUTY to determine jurisdictional compliance.** The Company disclaims all responsibility for users' regulatory adherence.
## 4. Comprehensive Limitation of Liability & Indemnification
**TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL HAVE NO LIABILITY WHATSOEVER FOR:**
- Any clinical outcome, patient harm, adverse event, or malpractice claim;
- Any regulatory penalty, license suspension, or professional disciplinary action;
- Any data breach, privacy violation, or security incident (though we implement industry standards);
- Any incorrect, inappropriate, or unlawful prescription issued using the platform;
- Any misinterpretation or misuse of platform features or content;
- Any direct, indirect, incidental, special, consequential, or punitive damages.
**USER INDEMNIFICATION OBLIGATION:** You agree to **defend, indemnify, and hold harmless** Ontario Technologies Co. and its representatives from and against any and all claims, demands, lawsuits, damages, losses, liabilities, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the platform;
- Your violation of any law, regulation, or professional standard;
- Your clinical decisions, prescriptions, or patient care;
- Your breach of any warranty or declaration herein.
This indemnification obligation survives termination of your account and use of the service.
## 5. No Creation of Relationships
No doctor-patient, attorney-client, fiduciary, or any other professional relationship is established between any user and Ontario Technologies Co. The Company acts solely as a technology service provider.
## 6. Modification & Severability
We reserve the right to modify this Disclaimer at any time. Continued use after changes constitutes acceptance. If any provision is found unenforceable, the remaining provisions remain in full force.
## 7. Complete Understanding
This Disclaimer, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Company regarding liability and professional responsibility. It supersedes all prior communications.
**BY USING THE eRxClinic PLATFORM, YOU IRREVOCABLY ACKNOWLEDGE THAT YOU HAVE READ THIS DISCLAIMER, UNDERSTAND ITS SEVERE ALLOCATION OF RISK AND RESPONSIBILITY, AND VOLUNTARILY AGREE TO BE BOUND BY ITS TERMS.**
